PinKeep™ Terms of Use

These Terms of Use ("Terms") govern your use of the PinKeep™ mobile application (the "App"), published by Promote Platform Group LLC ("we", "our", or "us").

These Terms apply to PinKeep™ only. Other applications published by Promote Platform Group LLC have their own separate terms.

1. Acceptance of These Terms

By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

You must be legally able to enter into these Terms in your jurisdiction. If you are using the App on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

If you got the App from the Apple App Store, your use of it is also governed by Apple’s Licensed Application End User License Agreement (the “Standard EULA”). These Terms do not replace the Standard EULA; they describe PinKeep™ and add terms specific to it. If they conflict, the Standard EULA governs copies of the App obtained from the App Store.

2. What PinKeep™ Is

PinKeep™ is a personal place organizer. It is a tool for saving places you want to remember, organizing them with categories, tags and notes, and opening them in other apps on your device when you choose to.

PinKeep™ is provided for personal, non-commercial use. It is not a navigation service, a mapping service, a booking service, a directory of businesses, or a source of authoritative information about any place.

3. Your Information Is Yours, and It Is Your Responsibility

The places, notes, categories, tags and other content you enter into the App belong to you. As described in the Privacy Policy, that content is stored on your device and is not uploaded to us.

This has an important practical consequence:

We do not hold a copy of your library, so we cannot recover it. If your device is lost, damaged, reset, or if the App is uninstalled, the data stored in it is gone. Keeping your own backups using the export feature is your responsibility.

You are responsible for:

The accuracy of the information you save
Keeping your own backups of anything you would not want to lose
Where you store, send, or share exported files
Ensuring your use of the App complies with applicable law

Do not use the App to store or share content that is unlawful, or that infringes the rights of others.

4. Place Information, Links, and Third-Party Services

Place details in the App may come from links or text you share into it, or from information you type yourself. That information originates outside the App, and we do not verify, endorse, or guarantee it.

Addresses, coordinates, names, and operating details can be inaccurate, outdated, or incomplete. Verify important details independently before you rely on them, particularly before traveling.

The App can open other apps and services on your device, including your maps application, your browser, and your calendar app. Those services are operated by third parties under their own terms and privacy policies. We are not responsible for them, for their content, or for their availability.

5. PinKeep™ Pro

PinKeep™ Pro is an optional purchase that unlocks the App’s Pro features. It is offered as a monthly plan, a yearly plan, or a lifetime plan. The monthly and yearly plans are recurring subscriptions that renew until you cancel them. Lifetime Pro is a one-time purchase and does not renew. Every plan unlocks the same Pro features.

The Pro features are:

Collections
Custom fields
Automatic backups, and restoring a device backup
Importing places from a .pinkeep file, a collection somebody shared with you, or a PinKeep™ JSON file or pasted PinKeep™ JSON, which writes their contents into your library (opening and previewing an import does not need Pro)

Saving places; organizing them with categories, tags, notes and favorites; searching and filtering; sharing a place; App Lock; and exporting your library to a .pinkeep file do not require PinKeep™ Pro.

The plans available, their prices, and the billing terms that apply to them are shown to you before you buy, through the applicable app store.

We may change what a future paid tier includes, or change pricing, for purchases made after such a change. We will not revoke a lifetime purchase you have already made in order to charge you again for the same feature.

PinKeep™ Pro free trial

Where the App offers it, you can try PinKeep™ Pro free for 14 days. The trial is promotional and separate from the paid plans:

No payment method is needed to start it.
It is not a subscription. It never turns into a paid plan, and you are not charged when it ends.
It ends automatically 14 days after you start it. Pro features are then no longer available unless you buy a plan.
Each eligible device can start the trial once. Reinstalling the App does not make a device eligible again.
It is not yet available on Android. On Android, the App cannot start the trial until a Google Play service it relies on to recognise a device is available to PinKeep™. Until then, the App does not offer the trial on Android.

Whether a device can start the trial is checked with Apple or Google, as described in the Privacy Policy. The trial may not be available on every device or in every version of the App.

6. Purchases, Payment, and Restoring a Purchase

Where the App is distributed through an app store, purchases are processed by that store. On Android, PinKeep™ Pro is sold and processed through Google Play; on iPhone and iPad, through the Apple App Store.

We do not process payments. Your payment method, billing, taxes, and receipts are handled by the app store under that store’s own terms.
Refunds are handled by the store. Any refund request is subject to the applicable app store’s refund policy, and is decided by that store, not by us. We can help you understand the App, but we cannot issue a store refund on your behalf.
Managing a subscription. A monthly or yearly plan is managed, including cancellation, through the app store account it was bought with, under that store’s own terms.
Restoring a purchase. The App provides a Restore Purchase option that asks the app store whether your store account is entitled to PinKeep™ Pro. An eligible purchase or active subscription can therefore be restored on a device signed in to the same store account used to buy it.
Entitlement is tied to the store account. A purchase made on one store account cannot be transferred to a different store account, and cannot be restored on a different platform’s store.

Restoring a purchase requires the App to reach the app store. If the store cannot be reached, restoring may be temporarily unavailable through no fault of yours or ours.

7. Availability and Changes to the App

We may add, change, or remove features of the App, and we may release updates. We may also suspend or discontinue the App, in whole or in part, at any time.

Some functionality depends on things outside our control, including your device, your operating system version, your network connection, your app store, and third-party services such as the operator of a shared link. Those may change or become unavailable.

If we discontinue the App, we will make reasonable efforts to give advance notice where practical, so that you can export your data. Again: exporting your data is the way to keep it.

8. License and Intellectual Property

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the App on devices you own or control, for your personal use. For copies obtained from the Apple App Store, the license is the one granted under the Standard EULA described in Section 1.

The App itself, including its name, design, and software, is owned by Promote Platform Group LLC and is protected by applicable laws. These Terms do not transfer any ownership to you. You may not copy, modify, reverse engineer, decompile, or create derivative works from the App, except to the extent applicable law expressly permits it.

This license does not cover the content you create in the App, which remains yours.

9. Disclaimer of Warranties

The App is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that:

The App will be uninterrupted, timely, secure, or error-free
Place information shown in or imported into the App is accurate or current
Defects will be corrected
The App will be compatible with every device or operating system version

Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

10. Limitation of Liability

To the fullest extent permitted by law, Promote Platform Group LLC and its owners, operators, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, goodwill, or business opportunities, arising out of or related to:

Your use of, or inability to use, the App
Loss or corruption of data stored on your device
Reliance on place information saved in, or imported into, the App
Third-party apps or services, including maps, calendar, and app store services
Any decision you make, or travel you undertake, based on the App

To the fullest extent permitted by law, our total liability arising out of or related to the App will be limited to the greater of the amount you actually paid for PinKeep™ Pro in the twelve months preceding the claim, or ten U.S. dollars (US$10).

Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Promote Platform Group LLC and its owners, operators, affiliates, and service providers from and against claims, liabilities, damages, losses, and expenses arising from your misuse of the App, your violation of these Terms, or your violation of applicable law or the rights of others.

12. Termination and Discontinuation

You may stop using the App at any time by uninstalling it. Because PinKeep™ has no account, there is no account to close. Uninstalling removes the local database and the places stored in it, so export anything you want to keep first.

We may suspend or terminate your license to use the App if you materially breach these Terms, or if we discontinue the App. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

13. Changes to These Terms

We may update these Terms as PinKeep™ changes. When we do, we will post the updated Terms at this address and revise the Effective Date at the top. Continuing to use the App after an update means you accept the revised Terms. If you do not agree to an update, stop using the App and uninstall it.

14. Governing Law

These Terms will be governed by and interpreted under the laws of Mississippi, without regard to conflict of law principles.

15. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the PinKeep™ Privacy Policy and, for copies obtained from the Apple App Store, the Standard EULA, are the entire agreement between you and us regarding the App.
